My client is an international solar developer and now seeking a Legal Counsel to join their in-house legal team. This individual will be responsible for providing legal support primarily related to mergers and acquisitions (M&A), Investment contracts within the renewable energy industry. The ideal candidate will have experience in contract law, ideally in the energy or infrastructure sectors, with a focus on renewable energy projects.
Key Responsibilities:
- M&A Transactions:
- Lead and support legal aspects of mergers, acquisitions, joint ventures, and corporate restructurings within the renewable energy sector.
- Draft, review, and negotiate purchase agreements, shareholder agreements, and related transaction documents.
- Conduct legal due diligence and provide risk assessments for potential transactions.
- Legal Advisory and Risk Management:
- Provide legal advice on a wide range of commercial and operational issues, including risk assessment, compliance, regulatory matters, and corporate governance.
- Identify and mitigate legal risks associated with project development, contracts, and business operations.
- Support internal teams in the development and execution of business strategies, particularly with respect to contract negotiations and project structuring.
- Regulatory Compliance and Policy Development:
- Advise on the legal and regulatory landscape for renewable energy projects, including compliance with local, national, and international regulations.
- Monitor developments in energy policy and law to ensure the company’s operations remain compliant and proactive.
- Stakeholder Communication:
- Work closely with senior management, external legal advisors, and other stakeholders to ensure legal issues are handled efficiently and effectively.
- Build and maintain strong relationships with external parties, including regulatory bodies, legal advisors, contractors, and business partners.
Qualifications and Skills:
- Education:
- Law degree from an accredited institution.
- Admission to practice law
- Experience:
- Minimum of 2 years of legal experience on M&A, Investment contracts in the renewable energy or infrastructure sectors.
- Demonstrated experience in managing complex legal transactions, drafting and negotiating high-value contracts, and providing strategic legal advice.
- Skills:
- Strong understanding of contract law, particularly in the context of renewable energy projects.
- Excellent negotiation, drafting, and communication skills.
- In-depth knowledge of energy laws, regulations, and the renewable energy industry.
- Ability to manage competing priorities and deadlines in a fast-paced environment.
- Strong analytical skills with a keen eye for detail and risk management.
- Both Mandarin and English is a must
