Position Overview:
We are seeking an experienced and proactive Legal Counsel to join our Client’s growing team in Tokyo. This role is crucial to supporting the company’s renewable energy development, financing, and operational activities across Japan. The ideal candidate will have a strong background in corporate and commercial law, project development, and regulatory matters, with proven experience in the Japanese energy sector. Native-level Japanese fluency and strong English communication skills are essential.
Key Responsibilities:

Provide legal advice and support across the full lifecycle of renewable energy projects (development, construction, operation, and divestment)

Draft, review, and negotiate a broad range of commercial agreements, including:

EPC, O&M, PPA, lease, and joint venture agreements

Land acquisition and lease documents

Financing and M&A documentation

Advise on regulatory compliance with Japanese energy laws, permitting requirements, grid connection, and environmental obligations

Liaise with external counsel, government authorities, local stakeholders, and counterparties as needed

Support dispute resolution and litigation management when required

Work closely with cross-functional teams including development, finance, procurement, and engineering

Contribute to risk assessments and internal training on legal and compliance matters

Stay up-to-date with legal and regulatory developments impacting the renewable energy sector in Japan
Requirements:

Qualified to practice law in Japan (Bengoshi preferred, but not mandatory if extensive in-house experience)

Minimum 7 years of relevant legal experience, including at least 3 years in-house or advising on infrastructure or energy-related projects

Prior experience in the renewable energy sector or infrastructure (solar, wind, BESS, etc.) is highly desirable

Fluency in Japanese (native or JLPT N1 level) and business-level English required (spoken and written)

Strong negotiation, drafting, and communication skills

Ability to manage multiple tasks and work independently in a fast-paced environment

Preferred Qualifications:

Experience working in an international environment or foreign-owned company
